Terms of Service

These Terms of Service ("Terms") govern Your access to and use of the DialIQ website located at https://dialiq.ai, https://dialiq.netlify.app, and all related features, applications, products, and services provided by DialIQ ("DialIQ," "We," "Us," or "Our").

By accessing or using the Service, You agree to be bound by these Terms. If You do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, You:

  • Accept these Terms
  • Represent that You have legal authority to bind Yourself or Your organization
  • Agree to comply with all applicable laws

DialIQ may update these Terms at any time. Continued use of the Service constitutes acceptance of the updated Terms.

2. The Service

DialIQ provides AI-powered voice, SMS, scheduling, triage, call handling, analytics, and related automation tools for businesses across multiple industries, including but not limited to veterinary clinics, medical and dental practices, automotive dealerships, home services (including HVAC, plumbing, and electrical), real estate, hospitality, professional services, and other small and mid-sized businesses.

The Service is designed as a general-purpose business communications platform. Industry-specific features, integrations, and workflows are provided as configuration options, not as warranties of suitability for any particular regulated profession or use case. You are responsible for determining whether the Service is appropriate for Your specific industry, regulatory environment, and operational needs.

We may modify, enhance, suspend, restrict, or discontinue any feature, industry vertical, or aspect of the Service at any time without liability.

3. Accounts and Access

You must provide accurate information to create an Account. You are responsible for:

  • Maintaining confidentiality of Your login credentials
  • All activity conducted under Your Account
  • Ensuring Your use complies with laws governing call recording, telephony, and data collection

DialIQ may suspend or terminate Your Account at its discretion for any reason, including suspected misuse, non-payment, or violation of these Terms.

4. Customer Responsibilities

You are solely responsible for:

  • Ensuring Your use complies with federal, state, and local regulations
  • Obtaining consent from callers for call recording where required
  • Verifying medical or triage guidance generated by the AI
  • Ensuring accuracy of any appointments, messages, or actions taken by the AI
  • Not relying solely on AI for urgent or emergency medical decision-making

DialIQ is not responsible for:

  • Incorrect bookings
  • Miscommunications by the AI
  • Triage decisions or interpretations
  • Compliance failures caused by customer configurations or workflows
  • Any medical, financial, or other outcomes

The Service is not a substitute for licensed professional judgment in any regulated field, including but not limited to veterinary, medical, legal, or financial services.

4B. Opt-Out Rights

You may revoke Your consent to receive communications from DialIQ at any time:

  • Calls and AI voice messages: Reply or state "stop calling," "remove me," "do not call," or any similar request during a call, or email optout@dialiq.ai with the subject line "STOP CALLS."
  • SMS messages: Reply STOP to any DialIQ text message. Reply HELP for assistance.
  • Email: Click the unsubscribe link in any DialIQ marketing email, or email optout@dialiq.ai.

DialIQ will honor opt-out requests within 10 business days, consistent with applicable law. Opt-outs apply only to marketing communications; DialIQ may continue to send transactional communications (such as billing notices, security alerts, and service-critical messages) where permitted by law.

You acknowledge that opt-out requests must be made through reasonable means as described above. Opt-out requests communicated through other channels (such as social media, third-party platforms, or unrelated support tickets) may not be processed within the same timeframe.

5. Payment and Billing

If You purchase a paid plan:

  • You agree to pay all fees associated with Your subscription
  • All payments are non-refundable, except where prohibited by law
  • DialIQ may change pricing at any time with notice
  • Subscriptions renew automatically unless canceled
  • Failure to pay may result in suspension or termination of Service

DialIQ may use third-party payment processors. Additional terms from those processors may apply.

6. Intellectual Property

DialIQ and its licensors retain exclusive ownership of:

  • All software, models, algorithms, workflows, designs, UI, and features
  • All call-handling, triage, and AI-routing logic
  • All analytics and metrics derived from aggregated usage
  • The name "DialIQ," logos, trademarks, and branding

You receive a limited, revocable, non-exclusive, non-transferable license to use the Service.

You may not:

  • Copy, modify, distribute, or reverse-engineer the Service
  • Train competing AI systems using insights or outputs from the Service
  • Use data from the Service to build derivative products

DialIQ reserves all rights not expressly granted.

7. Data & Privacy

Use of the Service is governed by Our Privacy Policy, which is incorporated into these Terms.

You acknowledge that:

  • DialIQ may process data (including call recordings and transcripts) to operate, improve, and secure the Service.
  • DialIQ may store and analyze anonymized and aggregated data for product improvement, benchmarking, or analytics.
  • DialIQ may use subcontractors and subprocessors to provide the Service.

If You require a Business Associate Agreement (BAA), it must be separately executed.

8. Call Recording and Telephony Compliance

You are solely responsible for:

  • Informing callers where call recording laws require it
  • Ensuring outbound messages and SMS comply with TCPA and carrier regulations
  • Correct configuration of Your telephony or forwarding settings

DialIQ disclaims liability related to regulatory or compliance violations arising from customer use.

9. Service Availability

DialIQ aims to maintain high availability but does not guarantee:

  • Uninterrupted Service
  • Error-free performance
  • AI accuracy
  • Timely delivery of calls, messages, or appointments

Planned or unplanned downtime may occur.

DialIQ is not liable for losses due to outages, delays, or technical issues.

10. Beta, Early Access, and Experimental Features

Certain features may be labeled Beta or Early Access. These features:

  • May be incomplete or inaccurate
  • May change or be removed at any time
  • Are provided "as is" without warranty

Use is at Your own risk.

11. Termination

DialIQ may terminate or suspend Your Account immediately, without notice, if:

  • You violate these Terms
  • You fail to pay fees
  • Your use poses security, legal, or operational risk
  • The Service is discontinued

Upon termination:

  • Your access ceases immediately
  • DialIQ may delete Your data after a reasonable period
  • You remain responsible for unpaid fees

12. Indemnification

You agree to indemnify, defend, and hold harmless DialIQ, its officers, directors, employees, contractors, and affiliates from any claims, damages, liabilities, losses, or expenses (including legal fees) arising out of:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of laws or regulations
  • Claims arising from medical, scheduling, or triage decisions
  • Claims by Your customers, clients, or callers
  • Any content or data You provide

You further agree to indemnify, defend, and hold harmless DialIQ from any claims, damages, or liabilities arising from:

  • Inaccurate or false contact information You provide to DialIQ
  • Your provision of contact information belonging to a third party without that party's authorization
  • Your failure to revoke consent through the methods described in Section 4B before initiating any claim related to communications You received from DialIQ
  • Any claim that the communications You received from DialIQ exceeded the scope of consent granted under Section 4A, where such communications were within the categories You consented to

This section survives termination.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

DIALIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy of AI outputs, triage recommendations, or appointment handling

You use the Service at Your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • DIALIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • DIALIQ'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM.
  • IF YOU USE THE FREE PLAN, DIALIQ'S LIABILITY IS ZERO.

You acknowledge that the Service involves automated AI processing and may produce errors.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

16. Mandatory Arbitration & Class Action Waiver

You agree that:

  • All disputes shall be resolved by binding arbitration under AAA rules.
  • You waive the right to bring claims in court (except for small claims).
  • You waive the right to participate in a class action, class arbitration, or representative proceeding.

This section remains enforceable even if these Terms are terminated.

18. Changes to the Terms

DialIQ may update these Terms at any time. Updates are effective immediately upon posting. Your continued use constitutes acceptance.

19. SMS Terms and Conditions

1. Program Description By opting in to DialIQ notifications, you agree to receive transactional SMS messages related to your account, including appointment alerts and security notifications.

2. Message Frequency Message frequency varies based on your account activity and the number of appointments managed through the platform.

3. Cost DialIQ does not charge for this service; however, standard message and data rates may apply from your wireless provider.

4. Opt-Out (STOP) You can cancel the SMS service at any time. Just text "STOP" to our toll-free number. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from DialIQ. If you want to join again, just sign up as you did the first time.

5. Support (HELP) If you are experiencing issues with the messaging program, you can reply with the keyword "HELP" for more assistance, or you can get help directly at support@dialiq.com.

6. Carrier Disclaimer Carriers are not liable for delayed or undelivered messages.
